Terms of Service

These Terms of Service (the Terms) govern access to CosmoKits, a subscription software product operated by STERLING GROUP LLC. VALERY PAVLYSHYN SOLE MBR (Legal Sterling, we, us). By creating an account, starting checkout, or using the service, you agree to these Terms.

1. The service

CosmoKits provides software to create client intake forms, generate statement-of-work drafts from submissions, and collect digital client acknowledgements (typed name, timestamp, and IP when available) before project kickoff. Subscribers receive dashboard access within plan limits. Starter is $15.00 USD each month. Cosmo Premium is $39.00 USD each month.

CosmoKits is not a law firm, notary, escrow service, payment facilitator for your client invoices, marketplace, crowdfunding platform, or legally binding e-signature product. Acknowledgements are operational confirmations between you and your clients. They are not legal advice and they do not create an attorney-client relationship with us.

Sample jobs on the public workspace (including Northlane Co., Harbor Dental, and Fieldwork Studio) are product demonstrations. Dollar figures on those statements are example client invoices. They are not charges processed by this Stripe account.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding agreement for business software. Provide accurate registration information and keep credentials secure. You are responsible for activity under your account. We may suspend accounts that abuse the service or violate these Terms.

The service is not offered to sanctioned countries or prohibited parties under applicable US and international sanctions and export laws.

3. Subscriptions, pricing, and renewals

Paid plans are billed monthly in advance in United States dollars through Stripe. Starter costs $15.00 USD per month. Cosmo Premium costs $39.00 USD per month. Subscriptions renew each month until canceled via the Stripe Customer Portal (Workspace, then Billing, then Manage billing). Charges may appear on statements as COSMOKITS.

After successful checkout, access to the dashboard is immediate. There is no free trial unless we explicitly publish one with full terms on this site. Taxes may apply once Stripe Tax is enabled on the merchant account. Where a cooling-off or withdrawal right would otherwise apply to digital content, that right is waived once access is delivered, which occurs immediately after payment.

4. Cancellation

You may cancel anytime in the Customer Portal. Cancellation stops future renewals. You retain access through the end of the paid period. There is no cancellation fee. See the Refunds and Cancellation Policy and the Delivery Policy.

5. Acceptable use

Use CosmoKits only for lawful client-intake and scope-confirmation workflows. You may not use the service for illegal activity, spam, harassment, adult or highly regulated content markets, third-party goods marketplaces, crowdfunding, sale or distribution of game cheats, unauthorized access tools, stolen credentials, or malware, or to process data beyond what is reasonably needed for project scoping.

You remain responsible for the contracts you send your own clients. CosmoKits does not review your statements for legal sufficiency.

6. Your content

You retain ownership of forms, submissions, and scope documents you create. You grant CosmoKits a limited license to host and process that content solely to operate the product. If you invite a client to a public form or acknowledgement link, you are responsible for telling that client why you are collecting their answers and name.

7. Client data

When a client of yours submits a form, STERLING GROUP LLC. VALERY PAVLYSHYN SOLE MBR processes that information on your behalf so the product can draft a statement. You are the party that decides what to ask. Do not collect payment card numbers, government IDs, or health records through CosmoKits forms.

8. Third-party services

Payments are processed by Stripe, Inc. Hosting is provided by infrastructure partners such as Vercel. Their terms apply to the payment and hosting layers. We do not receive or store full card numbers.

9. Availability and changes

We aim for reliable uptime but do not guarantee uninterrupted service. Material changes to these Terms will be posted on this page with an updated date. Continued use after the update date is acceptance of the revised Terms, except where a statute requires a different process.

10. Disclaimers

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. Acknowledgements do not create attorney-client relationships or guarantee legal enforceability of your client agreements. We do not warrant that the software will meet a particular project outcome.

11. Limitation of liability

To the fullest extent permitted by law, CosmoKits is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for claims relating to the service is limited to the fees you paid us in the three (3) months preceding the claim.

12. Indemnity

You will defend and indemnify STERLING GROUP LLC. VALERY PAVLYSHYN SOLE MBR against claims that arise from your content, your use of the service in violation of these Terms, or disputes between you and your own clients, except to the extent a claim is caused by our willful misconduct.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, except where mandatory consumer protections apply. Courts in Sheridan County, Wyoming shall have exclusive jurisdiction for disputes arising from these Terms, subject to applicable law.
